These Terms & Conditions (“Terms”) govern access to and use of the Normandy Knives dealer website and purchases made through the website.

The website is operated by Normandy Enterprises, LLC, doing business as Normandy Knives (“Normandy,” “we,” “us,” or “our”).

By accessing this website, creating an account, submitting a dealer application, placing an order, or otherwise using the website, you acknowledge that you have read, understand, and agree to these Terms.

Approved wholesale dealers are also subject to the Normandy Knives Wholesale Dealer Agreement and the policies incorporated into that agreement.

1. Dealer Website

This website is intended primarily for approved retailers, dealers, distributors, and other authorized business purchasers.

Access to wholesale pricing, dealer-specific content, and ordering functionality may require an approved Normandy dealer account.

Submission of a dealer application does not guarantee approval.

Normandy may verify business information and may approve, reject, suspend, or terminate dealer access in accordance with the Wholesale Dealer Agreement.

2. Wholesale Dealer Agreement

Approved Normandy dealers are subject to the Normandy Knives Wholesale Dealer Agreement.

The Wholesale Dealer Agreement governs matters specific to the dealer relationship, including:

• dealer eligibility and authorization;
• authorized sales channels;
• resale and product-diversion restrictions;
• wholesale pricing and confidential dealer information;
• applicable Minimum Advertised Price or reseller policies;
• use of Normandy branding and intellectual property;
• legal compliance relating to resale activities;
• dealer suspension and termination; and
• other obligations specific to authorized Normandy dealers.

If these Terms conflict with the Wholesale Dealer Agreement concerning the wholesale dealer relationship, the Wholesale Dealer Agreement will control.

3. Incorporated Policies

The following Normandy policies are incorporated into these Terms where applicable:

• Privacy Policy
• Dealer Shipping Policy
• Dealer Return & Refund Policy
• Lifetime Warranty
• Wholesale Dealer Agreement
• any applicable Authorized Reseller Policy
• any applicable Minimum Advertised Price Policy

These policies should be reviewed before submitting an order.

4. Legal Compliance and Restricted Products

Certain Normandy products, including automatic knives, may be restricted by federal, state, local, municipal, or other laws or regulations.

Normandy does not represent or warrant that every product offered on this website may lawfully be purchased, received, possessed, carried, transported, transferred, advertised, or resold in every jurisdiction.

Purchasers are responsible for understanding and complying with laws applicable to their business, location, customers, transactions, and intended use or resale of Normandy products.

By ordering a product, the purchaser represents that the purchase, possession, receipt, shipment, and intended disposition of that product are lawful.

Normandy reserves the right to refuse, hold, or cancel an order where Normandy reasonably believes the transaction may violate applicable law, carrier restrictions, payment-processing requirements, dealer requirements, or Normandy policy.

Information provided by Normandy concerning product legality is general information only and does not constitute legal advice.

5. Orders and Acceptance

Submission of an order does not constitute final acceptance by Normandy.

Normandy may accept, reject, limit, place on hold, or cancel an order for reasons including:

• product availability;
• pricing or website errors;
• suspected fraud;
• payment issues;
• account verification;
• dealer eligibility;
• legal restrictions;
• shipping restrictions; or
• other legitimate business or compliance concerns.

If Normandy cancels an order after payment has been collected, the applicable amount will be refunded or credited according to the original payment method unless otherwise agreed.

6. Product Availability

All products are subject to availability.

Normandy may modify, replace, redesign, improve, or discontinue products at any time without prior notice.

Normandy does not guarantee continued availability of any particular product, model, color, finish, configuration, or packaging.

7. Pricing

Prices displayed on the dealer website are generally expressed in U.S. dollars unless otherwise stated.

Dealer pricing, promotions, discounts, product availability, and other offers may change from time to time.

Normandy reserves the right to correct typographical, pricing, inventory, or website errors.

If an error affects an order that has already been submitted, Normandy may contact the purchaser to correct the order or may cancel and refund the affected transaction.

Wholesale pricing and dealer-only information may also be subject to confidentiality requirements contained in the Wholesale Dealer Agreement.

8. Taxes and Resale Certificates

Approved dealers may qualify for tax-exempt purchasing when Normandy has received valid documentation supporting the exemption.

Dealers are responsible for providing and maintaining current and accurate resale certificates, tax-exemption documentation, and other required information.

If Normandy is legally required to collect sales, use, or other taxes, those amounts may be added to the order.

The purchaser remains responsible for taxes, assessments, duties, or governmental charges for which the purchaser is legally responsible.

9. Payment

Payment is due according to the payment terms displayed at checkout or otherwise approved by Normandy in writing.

By submitting payment information, you represent that you are authorized to use the payment method provided and authorize Normandy and its payment-processing providers to process the transaction.

Normandy may use third-party payment processors, fraud-prevention providers, and verification services.

Orders may be delayed, held, or canceled if payment authorization cannot be obtained or if additional verification is reasonably necessary.

10. Shipping and Delivery

Dealer orders are governed by Normandy’s Dealer Shipping Policy.

Processing and delivery dates are estimates unless Normandy expressly agrees otherwise in writing.

Shipping carriers and methods may vary based on destination, order size, product availability, carrier requirements, or other operational considerations.

Purchasers are responsible for providing complete and accurate shipping information.

Questions regarding lost, damaged, delayed, short, or incorrect shipments should be reported according to the Dealer Shipping Policy.

11. Returns and Refunds

Dealer purchases are governed by Normandy’s Dealer Return & Refund Policy.

Returns may require prior authorization and must satisfy the applicable condition, timing, packaging, and other requirements stated in that policy.

Applicable return shipping costs, restocking fees, credits, and refunds are handled according to the Dealer Return & Refund Policy.

12. Product Warranty

Normandy products are covered by Normandy’s published Lifetime Warranty, subject to its terms, exclusions, and eligibility requirements.

Dealer inventory issues involving products that arrive damaged, defective, short, or incorrect should generally be handled according to the Dealer Shipping Policy or Dealer Return & Refund Policy.

After a Normandy product is sold to an end customer, qualifying product issues may generally be handled through Normandy’s published warranty process.

Dealers may communicate Normandy’s published warranty but may not modify or expand Normandy’s warranty or make additional warranty commitments on Normandy’s behalf.

13. Loss and Theft Replacement Program

Certain properly registered Normandy products may qualify for Normandy’s then-current loss or theft replacement program.

This program is separate from Normandy’s Lifetime Warranty and may be subject to registration requirements, deductibles, shipping charges, product availability, verification, and other program terms.

Eligibility is determined according to Normandy’s then-current program requirements.

14. Product Information

Normandy makes reasonable efforts to accurately display product descriptions, photographs, specifications, materials, dimensions, colors, pricing, and availability.

Actual product appearance may vary because of manufacturing variations, product updates, photography, lighting, display settings, or other factors.

Minor variations do not necessarily constitute product defects.

15. Intellectual Property

Unless otherwise stated, Normandy owns or licenses the trademarks, logos, product names, product photographs, graphics, videos, designs, written content, marketing materials, and other intellectual property appearing on the website.

Website content may not be copied, reproduced, republished, distributed, modified, or commercially used without authorization except as expressly permitted by Normandy.

Approved dealers may have additional limited rights to use Normandy brand assets pursuant to the Wholesale Dealer Agreement and applicable brand policies.

16. Account Security

Users are responsible for maintaining the confidentiality of their account credentials.

You are responsible for activity conducted through your authorized account unless you promptly notify Normandy of unauthorized access or suspected compromise.

Normandy may suspend access to an account if Normandy reasonably believes the account has been compromised, used fraudulently, or used in violation of these Terms or applicable dealer policies.

17. Prohibited Website Uses

You may not use this website:

• for unlawful or fraudulent purposes;
• to provide false or misleading information;
• to interfere with the security or operation of the website;
• to introduce malicious software or code;
• to attempt unauthorized access to systems, information, or accounts;
• to scrape, copy, or harvest website information through unauthorized automated means;
• to impersonate Normandy or another person or business;
• to infringe Normandy’s intellectual property or the rights of another party; or
• for any purpose prohibited by these Terms, the Wholesale Dealer Agreement, or applicable law.

Normandy may restrict access where it reasonably determines that misuse has occurred.

18. Third-Party Services

The website may rely on third-party providers, including ecommerce platforms, payment processors, fraud-prevention services, shipping carriers, analytics providers, hosting companies, advertising services, and other technology vendors.

Those providers may operate under their own terms and privacy policies.

Normandy is not responsible for the independent operation of third-party websites or services except to the extent required by applicable law.

19. Privacy

Personal information collected through the dealer website is handled according to Normandy’s Privacy Policy.

The Privacy Policy explains the types of information Normandy may collect, how information may be used and disclosed, and available privacy rights and choices.

20. Electronic Communications

By creating an account, applying for dealer status, or placing an order, you consent to receive business and transaction-related communications electronically.

These communications may include:

• dealer-account notices;
• order confirmations;
• invoices;
• shipping notifications;
• return and warranty communications;
• policy notices; and
• other communications relating to your Normandy account or transactions.

Marketing communications remain subject to applicable law and the choices described in Normandy’s Privacy Policy.

21. Disclaimer of Website Warranties

Except for Normandy’s express written product warranties, and to the maximum extent permitted by applicable law, the website and related services are provided on an “as available” basis.

Normandy does not warrant that the website will always operate without interruption, delay, error, or security vulnerability.

Nothing in this section limits an express product warranty or right that cannot legally be excluded.

22. Limitation of Liability

To the maximum extent permitted by applicable law, Normandy Enterprises, LLC and its owners, officers, employees, affiliates, representatives, and service providers will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising from use of the website or transactions made through it.

This may include lost profits, lost sales, loss of business opportunity, or loss of goodwill.

Dealer-specific limitations of liability may also be contained in the Wholesale Dealer Agreement.

Nothing in these Terms limits liability where such limitation is prohibited by applicable law.

23. Indemnification

To the maximum extent permitted by applicable law, users agree to indemnify and hold harmless Normandy Enterprises, LLC and its owners, officers, employees, affiliates, and representatives from third-party claims, liabilities, damages, and reasonable costs arising from:

• violation of these Terms;
• violation of applicable law;
• misuse of the website;
• infringement of Normandy intellectual property; or
• unauthorized representations made concerning Normandy.

Additional dealer-specific indemnification obligations are contained in the Wholesale Dealer Agreement.

24. Suspension of Website Access

Normandy may temporarily or permanently restrict website access where Normandy reasonably believes that:

• an account has been compromised;
• fraudulent activity has occurred;
• a user has violated these Terms;
• a dealer has violated the Wholesale Dealer Agreement;
• applicable law requires restriction; or
• restriction is reasonably necessary to protect Normandy, its customers, payment providers, dealers, systems, or intellectual property.

25. Governing Law and Venue

These Terms will be governed by the laws of the State of Utah, without regard to conflict-of-law principles.

To the extent permitted by law, disputes arising from these Terms or use of the dealer website will be brought in the appropriate state or federal courts located in Utah County, Utah, and the parties consent to jurisdiction and venue in those courts.

The Wholesale Dealer Agreement contains corresponding governing-law provisions applicable to the dealer relationship.

26. Severability

If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will continue in effect.

27. Waiver

Failure by Normandy to enforce any provision of these Terms does not waive Normandy’s right to enforce that provision or any other provision in the future.

28. Assignment

You may not assign rights or obligations under these Terms without Normandy’s prior written consent.

Normandy may assign its rights or obligations in connection with a merger, acquisition, sale, restructuring, reorganization, or transfer of the relevant business or assets.

29. Order of Precedence

The following order of precedence applies when Normandy documents address the same subject matter and contain conflicting provisions:

1. a separately signed written agreement between Normandy and the applicable party;
2. the Wholesale Dealer Agreement, for matters relating specifically to the dealer relationship;
3. an applicable Normandy dealer, reseller, marketplace, or MAP policy, for matters specifically governed by that policy;
4. the applicable Shipping, Return, or Warranty Policy, for matters specifically addressed by that policy; and
5. these Terms & Conditions.

The Privacy Policy separately governs Normandy’s handling of personal information.

30. Changes to These Terms

Normandy may update these Terms from time to time to reflect changes in our website, business, products, policies, legal obligations, or operating practices.

The Effective Date shown at the top of this page identifies the current version.

Material changes apply prospectively.

Continued use of the website after updated Terms become effective constitutes acceptance of those Terms to the extent permitted by applicable law.

31. Entire Agreement

These Terms, together with the policies incorporated by reference and any applicable Wholesale Dealer Agreement or separately signed written agreement, constitute the applicable agreement regarding use of the dealer website and transactions conducted through it.
